Both are 40te ATX's It will be a bolt in. You just need to do a quick learn procedure.

STANDARD PROCEDURE - QUICK LEARN
PROCEDURE
The quick learn procedure requires the use of the
DRBIIIt scan tool. This program allows the PCM to
recalibrate itself. This will provide the best possible
transaxle operation.
NOTE: The quick learn procedure should be performed
if any of the following procedures are performed:
² Transaxle Assembly Replacement
² Powertrain Control Module Replacement
² Solenoid/Pressure Switch Assembly Replacement
² Clutch Plate and/or Seal Replacement
² Valve Body Replacement or Recondition
To perform the Quick Learn Procedure, the following
conditions must be met:
² The brakes must be applied
² The engine speed must be above 500 rpm
² The throttle angle (TPS) must be less than 3
degrees
² The shift lever position must stay until
prompted to shift to overdrive
² The shift lever position must stay in overdrive
after the Shift to Overdrive prompt until the
DRBIIIt indicates the procedure is complete
² The calculated oil temperature must be above
60° and below 200°
(1) Plug the DRBIIIt scan tool into the diagnostic
connector. The connector is located under the instrument
panel.
(2) Go to the Transmission screen.
(3) Go to the Miscellaneous screen.
(4) Select Quick Learn Procedure. Follow the
instructions of the DRBIIIt to perform the Quick
Learn Procedure
You can probably get away without it, but the clutches might wear more than normal until the PCM/TCM relearns the new ATX's clutch volumes, etc. It depends if you want to risk it or not.

I thought I seen a way to do it without a DRB, but it might take some searching on the net to find.

ATSG blue book has the answer. Here in simple words:

Trany operation temperature has to be warm

upshift-learn-procedure ->

maintain constant throttle opening during shifts
(do not move accelerator-pedal during upshifts! )

accelerate car with throttle opening angle 10 to 50 degrees

make 15 to 20 upshifts - each 1-2, 2-3 and 3-4

Accelerating from stop to appr. 45 mph each time at moderate
throttle angle 20-25° is sufficient.

Kickdown-learn-procedure ->

make 5-8 wide-open-throttle kickdowns to 1st gear from 2nd or 3rd gear with >>> car speed below 25 mph for longer than 5 seconds <<<

same for speed greater than 25 mph to 3rd or 2nd gear from 4th

********

just the same as my friend (with the trany shop for years now) said -
constant throttle angle and then lots of up- and downshifts,
then some kickdowns and it should be fine.
At least it is for me.
a neon - what else ?

^That's the stuff I was referring to. But I don't remember how I stumbled across it. I think it was something for a Stage 1 GT cruiser upgrade.
